Indemnity Notice

You agree to indemnify and hold Video Interchange - its respective directors, agents, and information providers, harmless from and against any and all claims, liability, losses, costs and expenses incurred in connection with any use of products or information made available through the use of this web site.

Though we have never had a loss while materials have been in our possession and take all reasonable care to prevent loss or damage to client materials while in our possession, we realize that many if not most materials submitted for transfer or recovery, are one of a kind, irreplaceable copies of high historical, personal or sentimental value. Unfortunately, we have no way of assigning a monetary value to such materials, and even if we could, it would drive our insurance liability costs beyond the limits of affordability.

Thus when submitting videotapes, films, slides or any other media to us whether for duplication, conversion, repair, video transfer or for any other reason, you hereby acknowledge and agree that Video Interchange and any individual or business affiliated with Video Interchange shall not be liable for any loss or damage to such materials following receipt and during processing of such materials (even if due to our fault or negligence) and that the client’s sole remedy shall be replacement with a similar amount of blank video tape or the fair market value of the tape stock alone. Video Interchange makes no other warranty and assumes no other risk and shall not be liable for any indirect special, incidental or consequential damages resulting from client’s use of our services.

Should you desire monetary compensation in case of loss or damage,  you must secure your own insurance at your own expense. The client further agrees by the mere act of submitting materials, that Video Interchange shall be held harmless and immune from any insurance subrogation proceedings.

Any media received in conjunction with unpaid invoices are deemed to be abandoned after 120 days. Video Interchange at its sole discretion, reserves the right to dispose of any materials in any manner it sees fit, to include but not limited to: master tapes, wires, belts, cartridges , discs, cylinders and cassettes.  We simply do not have the room to store forever, materials for which payment has not be received & we have deem abandoned !

After 120 days and 3 attempts at contacting you by ANY combination of phone message or email, we can only then assume you changed your mind and the job and all materials received  will be deemed abandoned.

Abandoned Materials: Once deemed abandoned, though we cannot make any guarantees, we will make best efforts to retain the materials for 2 years, after which they will be discarded.  There is a $50 additional charge on top of the current rates in effect for locating materials deemed abandoned. In those cases, 100% of the new estimate must be paid up front.

We do not knowingly copy material which is copyright and does not meet the guidelines for duplication under the Fair Use Doctrine. Though we spot check for copyright infringements, there are many instances in the transfer process where we cannot screen every minute of tape or material submitted. Therefore the Client warrants that the videotapes, film, photos, slides or other media submitted to Video Interchange for transfer or processing, are not protected by copyright or the client certifies by the act of shipping the tapes to Video Interchange that he either owns or has purchased Rights of Copy, or use of the materials meets the requirements under the accepted "Fair Use Doctrine" of US Copyright Law.   As such, the client also agrees to protect and indemnify Video Interchange or it's assigns from any and all costs related to copyright infringement.
